M&A Case Study Interview - Examples/Help

I have a case interview coming up that will be M&A related with a Big 4 and need some help. I'm imagining this will be operations related, as I'm interviewing with a post-merger integration group (experienced hire).

The recruiter straight up told me I wouldn't be able to prepare ahead of time but gave me a hint that the scenario would be something like the following: "A company is seeking to merge with another - talk about the issues, risks, mitigations, etc, and ultimately make a recommendation on whether to make the deal or not."

Does anyone have a solid framework beyond a SWOT analysis on this type of question? Any good examples out there?

I believe these things are better thought in simple terms. If I were to ask you that question outside a consulting case how would you address it? Break it down in 3 type of risks you could see: - Make sure 1+1= at least 2 from a revenue side - People/culture - Systems integration

More importantly think of solutions you would offer: training, planning integration, marketing message...

If you keep it simple you will be fine
