M&A

Hi,

If one interned at a top boutique in M&A and worked one's ass off and did a good job but did not receive a full-time offer at the end (obviously one is somewhat subjective here), can anyone think of a good way to spin this in an interview scenario?

If one of the principal reasons was the team culture and that there may have been an individual who was very difficult to work with, obviously this would be a bit of a faux pas to mention in a future interview, cos you're supposed to be professional and try to work well with everyone, no matter what their personality is like / even if you don't get on well.

Can anyone recommend a succint and convincing response if I get asked this in future?

Just wanted to learn your thoughts on how oil&gas M&A will look like going forward, as oil prices went down a lot. Does this mean a fair amount of deal activity for especially mid-market, E&P bankers since small, upstream companies are likely to have a hard time in financing and will resort to 'strategic options' in the end?

Is the convertible preferred stock a good choice as the consideration in an M&A deal?
The acquiring company may not have enough money and already have a high financial leverage.
And the convertible preferred stock can carry a steady flow of dividends, which may be appealing to shareholders of the target firm. The convertible preferred stock also won't increase the financial leverage of the acquiring firm.
But it seems that it's not very common to use the conv. pref. stock as the consideration. I can't find the reasons. Would anyone be kind enough to give me some clues? Thanks.
