Transaction Bonus Expectation for Corp Fin Director in $1B - $1.5B Industrial Sale
Hey Monkeys - I'm a Corp Fin Director, Company is going to sell for $1B+. I'm a direct report to the CFO, but critically involved in the process. I build all of the financial projections, revenue projections, sit in all of the discussions with commercial leadership, am involved in Q of E, and have gotten to know a large portion of the acquiring team.
Our CFO is not involved in Q of E, commercial discussions, etc.
Just curious as to what the group here thinks is fair / market for this type of role as a transaction bonus relatively to annual base comp. E.g. is it 1x? 0.5x? 2x? Something else?
If helpful, the Company is employee owned.
In the realm of Corporate Finance, especially for a Director involved in a significant transaction like a $1B+ industrial sale, transaction bonuses can vary widely based on the company's policy, the individual's contribution to the deal, and the overall impact on the company's financials. While the context provided doesn't specify exact figures for transaction bonuses in such scenarios, we can infer some insights based on general compensation structures mentioned.
Given your critical involvement in the sale process, direct reporting line to the CFO, and significant contributions to financial and revenue projections, as well as your engagement in Quality of Earnings (Q of E) and discussions with both commercial leadership and the acquiring team, your position is evidently pivotal to the transaction's success.
In the corporate development/strategy/finance sectors, bonuses, including transaction bonuses, are often a significant portion of the total compensation package. The context mentions that for mid-management levels like Directors, the compensation can include a base, a cash bonus (20%-50%), and RSUs. While this doesn't directly translate to transaction bonuses, it indicates the company's willingness to reward significant contributions.
Considering the scale of the transaction and your role: - A transaction bonus could reasonably be expected to be a substantial percentage of your annual base compensation. - In high-stakes transactions, bonuses can range from 50% (0.5x) to 100% (1x) of the annual base salary, sometimes even more for exceptional contributions and outcomes (2x or higher). - Given the company is employee-owned, there might be a more generous approach to sharing the success of such a significant deal, potentially leaning towards the higher end of the spectrum.
Ultimately, the exact figure would depend on the company's precedent for such transactions, the perceived value of your contribution by the senior leadership, and the negotiation that takes place regarding your bonus. It's also worth considering any precedents within the company or similar transactions in the industry for a more accurate expectation.

Time to ask that question was early on in the process.
