Depends, for financial buyers you would pick funds that do deals of roughly the same size as the one being marketed, probably want to focus on any applicable sector focused funds, and also consider the deal type (private placement, sellside, carve out).

Strategics you would look for companies that are in the same industry, similar customer base (B2B / B2C), similar products, could be companies looking to acquire IP, looking to expand into new areas of opportunity, companies that attain growth by being acquisitive...
