Different Kind of Memorandums in Banking

The 2 terms can be used interchangeably which can be confusing but generally speaking, a CIM is used for the sale of a whole company while an OM is for raising capital

Thanks a lot. So an OM would be sent to institutional investors in order to raise capital for a company? And would an OM be used in an IPO as well? Who is the audience receiving/ reading it?
