EV of a Private company
How do you find the enterprise value of a private company? I have the financials, is it just paid in capital + net debt? Or would it be the assets (market value) + net debt.
Thank you!

Trading / transaction comps or a DCF.
you're in the industry working in m&a gotta be shitting me
Maybe he's just really, really fresh ...
OP, shouldn't your seniors have asked you to build comps, precedent transactions or a DCF model before?
DCF, LBO or comps.
9 times out of 10, ebitda multiple (or whatever relevant metric whether ebitdar or revenue or whatever) based on trading comps. Ltm likely, although depending on industry, could be a forward multiple.
Could run a dcf, boilerplate lbo, precs to get a range, although keep in mind range will likely be wide given the numerous assumptions you’ll make for dcf and lbo analyses.

Stape, shame nobody has responded. Maybe one of these topics will help:
Or maybe the following WSO members have something to say: mgerrard Dorothy-Figiel YungMonc
Hope that helps.
DCF, LBO or Comps analysis.
The equation I was taught for Total Enterprise Value (TEV) is: TEV = ( Market Capitalization + Interest Bearing Debt + Preferred Stock) - Excess Cash

Private companies don't have a market cap I believe
la flame, That is pretty much correct. Considering private companies do not trade on open exchanges. There are a number of variables taken into account when determining market cap for publicly traded companies which are not applicable, and many times not available, for private companies. Hence a different valuation method, typically provided for in the Red Herring or some other introductory piece of literature associated with the fund/company..
Valuation and EV of private company (Originally Posted: 08/28/2016)
So I have a financial model of a private company from Year 0. (just 3 statements)
I am being asked to do an indicative valuation of the company. What does indicative mean? Just a quick back of the envelope calculation i assume?
the company has no comparables have been asked for the indicative valuation and entry ebitda multiple
how do i go about.
will i need to do a dcf? or some quicker option? (no multiples available. in fact i have to give the entry ev/ebitda multiple and use that for exit
Yes, you will have to do a DCF if you have no multiples, no comps, and no transactions. That's the quick answer.
If you have the whole model, this should take about 5 minutes max to do a valuation. Since this sounds like a test, I'm not gonna help you too much but it sounds pretty mechanical.
well that was helpful
i just want to know whether i need to go full on and build a dcf or is there some quick method being expected
