Parent company & spin off business entity interviews

This past week, i had an opportunity to interview 2 different FP&A positions. One from the parent company (old fasion brick & mortar) and another from a spin off of the same parent company (high tech). When talking to HR, they asked me if i have interviewed any other place. I just told them I'm passively looking as of now. I should hear back for 2nd round of interviews next week. Do you think it would be a good idea to disclose that I interviewed both places? Parent company was offering higher salary as opposed to the spin off entity. I'm not sure what to do because I really don't want to create a complicated situations between those 2 companies.
