Prop or Institutional?

I just wanted to get a few opinions, I have been offered a spot on a decent prop trading desk the company is definetly one of the honest guys but not like FNYS a little smaller, I have also been offered a TA position for a mid-market Asset Mgt. firm on the fixed-income trading desk, I know the differences which is the better opportunity?

Second question, How are traders contracts structured for these larger firms? Is it a percentage of p&l, how does it work?
