Recent M&A Case Study Presentation as Part of Interview Process COMING UP!

Has anyone had to prepare a pitchbook and valuation model for a recent acquisition and then told to present the material as part of the interview process?

That's the case with me. I would really appreciate the help of the people currently working in the industry to chime in on how to best present an M&A transaction and what the key points to touch on should be!

Yeah what you need to do is to pick a company and a target if they did not assign you one. You then need to put together a fluff slide on strategic rationale. This just needs to make common sense and does not need to be earth shattering insight. The more important part is the valuation, and what they will be focused on. You'll need to put together a football field for valuation so that you can show generally what the buyer should pay for the target. Then you need to put together what we used to call a mini-merger model to show what accretion dilution impact to acquirer is at various prices and mix of considerations. It's really no different that asking you to do a valuation exercise and then throwing some accretion dilution analysis on top of that. You should also throw in some slides about what the pro forma enitity looks like.

 

They actually assigned the company and I did everything mentioned because the company was acquired by a strategic acquirer that was actually private so I don’t have access to it’s financials. In this case is there something I should do instead?
