Roles in a Deal Team

Hey everyone, just curious about what the different roles on a deal team are. I'm familiar with what Analysts & MDs do, but less familiar with what Directors/VPs/Associates do. If someone could provide some examples that'd be great. Thanks.

 

Generally the shit rolls downhill.....MD tells the director what he needs, director tells the VP what the MD needs, VP tells the associate what he needs and then the analyst does what the associate needs and the TBell explosion that rolled down the hill gathering up lots of momentum gets packaged into a beautiful little CIM and sent back up just to be digested and again shit down your throat at 11:30pm, expecting a new draft by 8:00am

 

In reality the director is usually the one managing outside bidders while the MD holds the client's hand. The VP then gets all the inbounds from bidders and negotiates NDAs etc. Associates really depend but I've seen situations where a junior associate is just awkwardly in the middle and doesn't really do much besides checking the analyst's work or running the data room all the way to a more senior associate managing buyer outreach, neogtiating NDAs and holding the model. I know its cliche but every process/team is really different.

My team is staffed lean on deals. Typically an MD, VP, associate, and analyst. Sometimes no VP if we have an AS2 and AN2.

On bigger deals we’ll make sure it’s an AS2/3 and have an AN2/3 with an AN1.

MD -> manages senior client interaction, important buyer outreach, and all negotiations. Doesn’t get involved in marketing materials until a day or 2 before they go out to buyers. VP -> day-to-day lead with client and buyers; leads important third party work streams and diligence calls w/ buyers; drives marketing materials / analysis from high-level Associate -> holds overall pen on all marketing materials, model, analysis, buyer diligence; processes NDAs; leads less “complex” third party work streams; manages analyst(s); leads most of buyer diligence calls when it excludes senior PE folks Analyst -> does 80% of pptx work and turns all edits; manages data room and buyer log; basic / moderate analysis; does all basic admin work (kick-off materials; IOI summary; watermarks)
