Does anyone know of a company that was taken private and made a 338 (h) 10 election and, subsequently, went public a few years later? More so looking to find out if the 338 (h) 10 election held up during and after its transition to a public company (assuming they took credit for NOLs, etc). Thanks

I maybe misunderstanding your questions, but I think there are two different concepts here. The 338 is to mark up the assets to market so you can benefit from the tax shield of accelerated depreciation. I don't see why there would be a problem with each subsequent transaction. Would think that the assets would be written up or carried over at cost for each transaction depending on whether it's an asset or stock sale. The acquirer can carry over a portion of NOLs after a certain percentage change of ownership (If the percentage change doesn't reach the threshold the NOLs are safe).
