Founded in 2013, company is a Financial Advisor office with two business segments:
Advisory in the acquisition process, developing creative solutions to maximize results. This procedure involves advising shareholders, executives and investors, ensuring:
unbiased analysis of assets.
precision in the arrangement of conditions that make the operation feasible.
assembly of structures that make the operation feasible and optimal for our clients.
Direct advisory in the negotiation of contracts and drafting of shareholders' agreements.
Advisory in restructurings, with the objective of preparing a company for the market or evaluating shareholding or succession problems. For this, Estáter develops alternatives for restructurings that allow for spin-offs, uncrossing of equity stakes, separations or other models that lead to the maximization of shareholder value.
Advisory in all phases of alienation processes, supporting controllers, shareholders, boards and corporate committees: from preparation of the company for the transaction to the valuation of its assets up to finding investors, defining strategy and implementing the negotiation with interested parties. Advisory in formation of joint ventures and strategic alliances: we develop feasibility studies for partnerships in the national and international markets, analyzing feasibility, valuing relative businesses, developing shareholders' agreements and negotiating.
In 2007, we created Estáter Gestão e Investimentos to enable our participation in non-listed companies. The goal is to identify companies with high organic or inorganic growth potential and participate in their growth, based on a long term investment view. Since the creation of this area, we have executed transactions with companies in the following sectors: food and beverage, real estate development, renewable energy, and insurance brokerage.
Estáter GI serves another mission which we judge as highly strategic. As our business focus is in the evaluation and advisory of companies undergoing mergers, acquisitions and joint ventures, we recognized along the way that "rolling up your sleeves" represented a valuable learning. By dealing with the day to day of companies in a growth phase we would have a valuable laboratory that supports our understanding of specific aspects of corporate life. To use a metaphor of a house being built: we are architects of great buildings who learn the role of the builder adding brick after brick to our structures.
