Had one 15 minute call with an analyst which was all behavioral. Why mizuho, why banking then got an invite for a 30 minute technical interview. Started with TMAY then basic accounting, how do different line items flow through three statements. DCF walkthrough with follow-ups then a merger model accretion/dilution question.
Interview Questions
The merger model was the hardest question. Company A has a net income of $200M and 100 million diluted shares outstanding. It acquires Company B for $500M in a 100% debt-funded deal at an interest rate of 5%. Company B has a net income of $50M. Assume a 25% tax rate and no synergies or purchase price allocation adjustments. Is the deal accretive or dilutive to Company A's EPS, and by how much?

Want to stay private so they don’t have to deal with the SEC,
Conditions for a strong ipo market: low volatility, positive expectations of the market down the line,
Valuation: walk through 100 interest expense, 50 cash interest, 50 pik interest, 40 tax rate

The interview process was structured and efficient. It began with an initial screening, which focused primarily on behavioral questions and overall fit. After that, there was a more in depth round that tested technical knowledge and problem solving ability.
Interview Questions
One of the more difficult questions focused on applying core concepts rather than just reciting definitions. For example, I was asked to walk through how a change in interest rates would impact a company’s financial statements and valuation. It was not just about knowing that higher rates lower bond prices, but explaining the full chain reaction through cost of debt, cash flow, and enterprise value.

They started off holding a networking session for my school specifically in their office where they introduced us to many people of all seniority from their investment banking division. All we had to do is network with a few people outside of that event and they gave us a final round interview pretty much. Final rd interview consisted of two seperate interviews with 2 senior bankers (VP and above) that lasted about 30 minutes each. Very easy all behavioral questions very basic. Tell me about yourself and then grilled us on resume experiences. Also gave a few situational questions and that was it.

Applied online and was sent straight to super day. 5 rounds, 4 with directors, which was mostly behavioral, asked about my thoughts on the industry I was interviewing with, and previous deals I worked on in my last internship. Had a last round with an analyst, which wasn’t overly technical (asked me about financial statements, how would x change affect x, and what EV is and why is it applicable in banking). Heard back with an offer the next day.

None were that difficult, the one that was the “hardest” was when the analyst asked me how to calculate EV and why is it material in the role.
