Disney + 21CF = is it really a merger?
Today I received the small text book of information deemed relevant for the shareholder vote about the Disney and 21st Century Fox Transaction. It's been commonly described as a merger but given that 21CF would merge with a Disney subsidiary (created for the transaction) to then be a subsidiary wholly owned by Disney, this seems like an acquisition to me. Is it deemed a merger because 21CF is spinning off it's Fox News, Sports and other broadcasting units into a new company, "New Fox", before the transaction or do you see it as more of an acquisition, too?
As someone trying to understand this world better any insight is greatly appreciated!
