In hindsight, you are right on. If that is the case, does that affect Elon's fanboys opinion of him?
Team "specific performance" over here thinks that there's a bit of risk to this strategy. TWTR's damages are, what, $20 bn at the pro forma market value? They won't let him get away for $1 bn if they can help it, and he doesn't have a break option per se without blowing up his own financing in bad faith.

-twitter is suing him in a case where it’s likely they’ll have to expiate the bots
If it’s true that he only isn’t buying twitter due to the bots, which would be a big game changer as far as ads go, then he just gamed them into disclosing it. Not like they will give a solid answer even in court though
The bots are a non-issue. He hasn't even done the work on them, he just wants an out.
He claimed to be buying Twitter for the explicit purpose of cleaning up the bots. He also waived his ability to do deeper diligence in advance of signing the offer.
My best guess is Elon had a manic episode where he thought his followers would think he's a legend if he bought Twitter, so he did, and after that brief episode he realized it was not a good idea (compounded by the floor falling out on tech in the meantime). I really think he only briefly intended to close, and he's been looking for an out ever since.
Elon is not as smart as people give him credit for, he's not playing 4d chess as a way to get out of TSLA without spooking TSLA investors. If that was the intent, he's fucking retarded.
TWTR has a very strong case against him, but it's a huge deal and his financing definitely would love to pull out since the banks syndicating the debt are set to get their faces ripped off when they try to market the bonds at par. Will be interesting to see how it plays out. I'm rooting for him to be forced to close because fuck Elon Musk.
