USPPs, EUPPs, Schuldscheins and other private placements

Could anyone explain me why are some bond issuance not branded as USPPs despite being privately placed to institutional investors only? In other words, what makes a USPP/SSD just that and when should we instead use a more generic term to label the issuance?
