LMM MBA Sponsorship / Post-MBA VP Role Offer Letter

Hi, I was hoping to get some assistance in evaluating an offer I received from my employer with respect to MBA sponsorship and my post-MBA VP employment agreement. Can you guys let me know your thoughts? For context, we are an independent sponsor in NYC targeting a first fund raise of $250 - $500 million. I would be the only VP at the firm upon my return (4 partners)

MBA Sponsorship (graduate May 2025, start employment August 2025)

  • $100k signing bonus today, repayable in full if I am terminated for cause or voluntarily terminate my employment prior to December 31, 2028
  • Reimbursement for tuition costs up to a maximum of $120k, payable as of August 2025 - repayable in full if I am terminated for cause or voluntarily terminate my employment prior to December 31, 2028

VP Compensation (start employment August 2025)

  • $200k base salary, $200k target bonus ($400k cash comp all in)
  • 1.0% carry allocation

My gut tells me the carry allocation is a bit low but would love other perspectives. Thanks!
