How to prepare for M&A consulting interview?

I have an interview coming up at a shareholder engagement advisory and governance consulting company next week. The position is an M&A role within their corporate development and shareholder activism group. It seems like there is more consulting than modeling work. I have internship experience in consulting.

You will be an integral member of both the Global M&A and Activism team as well as the Global Corporate Development team, and will also work with other ************ team members based in New York. The M&A and Activism Advisory Group is responsible for developing and executing shareholder engagement assignments involving our clients’ M&A transactions and activism campaigns, including mergers, tender and exchange offers, SPACs and contested situations. The Global Corporate Development team is responsible for charting ************* path forward with respect to acquisitions, partnerships and other strategic initiatives.

Position Details:

In this entry-level role, you will be an important part of key project teams and will generally be responsible for:

· Preparation of client-facing materials, including marketing presentations

· Research and analysis on topics ranging from new business opportunities to acquisition targets to competitive assessments

· Preparation and delivery of team and client updates

· Contributing to the development and management of sales and marketing campaigns

· Coordination and management of daily and weekly group meetings, reports and calls

· Database management, including Salesforce

· Basic financial modelling, including creating analyses and formulating recommendations on projects assigned

Not sure what kinds of questions I would have in an interview, and not sure how technical or behavioral they would tend to skew. Most of the M&A and corpdev teams do not have IB backgrounds. Could I lateral into IB from a position like this?
