Corporate Development Interview Process

Hi, I was curious what the interview process for corporate development typically entails. I see sometimes there is a modeling test, sometimes not. Typically is the modeling test accretion /dilution, building a stand-alone operating model, or something else? How does the process differ from others like PE or hedge funds?

Depends on the company and the role. If you're going to an established or acquisitive company that has former bankers on its team (vs. industry professionals), expect a technical interview. If you have 2+ years of experience, it'll revolve a lot more around your deal experience (why did company A buy company B, did it make sense, valuation, returns, etc.). Also make note of the competitive landscape and industry trends of the company with whom you are interviewing . Expect all standard finance questions, again likely to be mostly related to your deal experience. A case study, model, etc. are all expected along with a presentation. Could be something formal or something informal. Culture should be friendlier than buy-side roles given that work/life is more important and of course comp is different. But still a very competitive process, very prestigious role that comes with great experience. Bigger or sponsor-backed companies can also ask about div recaps, share repurchases, financing mix, restructuring, etc. When you research the company, take a look at what they did in the recent past, if they are public, pull down their earnings call transcript and see what the CFO/CEO/CorpDev guys are thinking about. Look at their closest competitors too. Remember just like PE/HF, this is also very fit-oriented so to stand out, you need to build rapport, seem more enthusiastic and knowledgeable than your competition.

------------ I'm making it up as I go along.
