Equity in Private M&A Deals
How common is it to offer equity (private of course) as consideration in M&A deals between two private firms?
How does the acquirer (or IB) determine how much equity to "issue" to the target and at what price to issue?
These are easy questions for public firms, but I am not sure how it works when both firms are private.
