LBO Price

Stupid Question, but got to give it a shot. In a bid for a company that is a segment of a larger publicly trade company, to make a rough estimate of appropriate bid price, what do you use for the valuation? I know when looking at exits it is more or less just the EBITDA times multiple minus debt, but what do I need for the bid? Apologize if this is an elementary question.
