Noob IB questions - need help

Hey guys, have three quick questions...

1) Does "completion of Plan of Arrangement" mean the same thing as "closing of an acquisition? or Plan of Arrangement means something else such as shareholders approving and doesn't mean the acquisition is closed.

2) How come some transactions state the offer price per share yet does not state the transaction value? How do you calculate the transaction value if that's the case? Price per share * OUTSTANDING shares? (or all common shares)

3) Also, does transaction value = combined EV of the two companies?
