What is the different between equity financing and private offering/private placement?

Equity financing is issuing of stocks openly on the market and private placement.....is private, usually to a small # of investors.
Just guessing by the way it was worded..
I would assume the equity financing was for a publicly traded company in a follow-on offering (after they are already public)
The private placement can be any number of different debt or equity securities transactions and I'd assume in this case it was for a private company..Although there are cases where public companies can have a private placement (example: PIPES - private investment in public equity)
I read that private placement usually refers to public companies while private offering is for private companies. Is this correct?
