Private Capital Raises

Hey WSO nation,

Can anyone out there recommend resources relating to private capital raises? I don't have much exposure to this world and would love to learn more about the process, the universe of instruments available, legal considerations, etc...

Also willing to trade material if anyone has anything good...

Mezzanine financing seems appropriate for this situation. Debt like financing that could be converted to equity if the investment is not repaid in full. Another option is a convertible debenture that has a maturity suitable to the owner's long-term goals. This converts the debt into equity at a certain point in time.
