reporting threshold to the SEC

Appologize ahead of time if this isnt the correct forum to post in but I figured if anyone knew this it would be someone on WSO.

Im trying to figure out what the reporting threshold is to the SEC for shares in public companies.

for example when you when you buy shares in a public company, at how much ownership % would you have to report your stake to the SEC? Or you may have to report it to the public company? I believe you would be listed as a minority shareholder but im not exactly sure

also im guessing that your ownership stake in the company will then have to be included in the quarterly filings, does anyone know what form it would be listed on?
