Tax savings analysis for acquirer
From the S corp seller's deal team, who takes the lead in preparing the analysis for tax savings for the acquirer (in cases where the acquirer requests as part of diligence)? Mainly to address a 338(h)(10) transaction. Does the seller's accounting firm take lead after getting some indication of purchase price from the seller's banker...and... when/how does the seller's lawyer get involved?
