Middle Market Co-Invest Case Study

Hey so does anyone happen to have an idea of what this might look like? This will be a 3-4 hour case study (model and write-up included). I’m more concerned with how the rationale/ considerations might differ for a co-invest compared to a more typical PE investment. Will there most likely be a preferred equity / PIK build needed too?
