General Contractor/Construction Management - Contract Terms

For those of you who work for a developer and take on a project, what are some terms and conditions that is included in the contract with the GCs? Do you typically look for a GMP in order to have a set fee or Design Build?

Also, why would you select a GC over a CM? Any pros/cons to both?
