do you mean a non traded private REIT? Where did you head a max of 100 shareholders? NTREIT's mostly price during the capital raise at $10.00/share through a bit of a smoke and mirrors NAV valuation. Obviously during the initial period the actual NAV is much lower due to the front end load and fees...and once up and running likely higher...during which sometimes they go through a revaluation process and reprice at say 12/share. But unless raised...the dividend the investors receive is based on 10/share.

how large the fund wants to be dictates how many investors...meaning: fund size $ / 10/share. the # of investors doesnt really matter -- it's the share count/fund size.
