$130/hr - Help WSO Source Realistic PE Docs for New Training

Fellow primates, we are super excited to announce that we are working hard on a new private equity associate training course, and we would like to make an offer to you!

We will pay you $130/hr for you to help us create realistic deal docs (take what you have and change/redact where needed for confidentiality reasons) to help us in the development of this training.

Any realistic examples of the files from the list below would be helpful:

  • IOI example, lender indicative term sheet example (ideally including a terms grid), CIM examples.
  • Example of scopes of work for each of the DD providers (split by red flag reports and final DD reports)
  • IC materials: thesis, risks, mitigants, opportunities – ideally by first deck and final deck within phase 2
  • Example data room
  • Examples of all of the analysis types listed below
  • Phase 2 deal timeline
  • CDD report, LDD report, FDD report, Tax and Structuring DD report, sample SPA, grids, funds flow
  • Operational DD report (key revenue and cost levers, and associated analysis)
  • Sourcing tracker and template
  • NDA example (anything boilerplate is great)
  • Final purchase agreement (ideally both an SPA and an APA)
  • Final debt commitment letter
  • LOI example
  • Sample capital call (internal memo)
