Advice Needed: Consulting Contract Terms

Hi All — looking for some advice on how to structure a 6-month consulting agreement.

I’ve been offered an opportunity to work with a small family office and would essentially be employee #2 (outside the founder and a some back-office staff). I’d handle acquisitions in a few markets, help build asset management systems, and take on other projects as needed.

All equity would belong to the founder — there’s no requirement for me to invest. We’re setting this up as a consulting arrangement for the first 6 months to make sure we work well together, with the potential to convert to a full-time role afterward. I’ve been asked to propose initial terms. All equity is his, no capital contribution required from me.

Here’s what I’m thinking:

  • Salary: $75K for 6 months (≈$150K annualized, feels market for my YOE)
  • Deal Participation: 50/50 split on ownership + cash flow for any deals we close during that period
  • Travel expenses reimbursed
  • Benefits: None needed, I'll be on my wife's insurance. 

Would appreciate any thoughts on whether these terms seem fair or too aggressive, or if I'm missing any terms. I don’t want to come off as asking for too much, but I’ve got a family and need enough to keep the lights on. I believe in his vision and am comfortable taking less upfront for the chance to grow with the platform and build real wealth in the future. Thank you in advance.
