Private credit interview

I have a PC technical round for a long internship. This is my first one. What I have focused on so far is valuation, LBOs, accounting, DCM, and lev fin. I am also tracking recent trends and deals. Anything else I should focus on before the interview? Also, is it normal for teams to throw in questions from the broad 400 IB set even if they are not tied to the role.

For a private credit (PC) technical round, you're on the right track with your preparation. Based on the most helpful WSO content, here are additional areas and tips to refine your focus:

Key Areas to Focus On:

  1. Debt Structures and Leverage Metrics:

    • Be ready to discuss different types of debt instruments (e.g., revolvers, term loans, mezzanine debt, bonds).
    • Understand leverage ratios (Debt/EBITDA, Interest Coverage) and how they impact credit decisions.
  2. LBO Modeling with a Debt Focus:

    • Since private credit focuses on debt capacity, practice LBO models emphasizing debt structuring, leverage, and interest coverage rather than equity returns.
    • Be prepared to justify assumptions like interest rates, leverage levels, and repayment schedules.
  3. Credit Analysis:

    • Learn how to assess a company's creditworthiness. Focus on cash flow stability, EBITDA margins, and industry risks.
    • Be familiar with covenant structures (maintenance vs. incurrence covenants) and their implications.
  4. Recent Market Trends:

    • Stay updated on private credit trends, such as the rise of direct lending, BDCs (Business Development Companies), and how private credit competes with traditional banks.
    • Know recent deals in the private credit space and be ready to discuss their structure and rationale.
  5. Behavioral and Fit Questions:

    • Private credit teams often value candidates who can think critically and communicate effectively. Prepare for questions like:
      • "Why private credit over investment banking or private equity?"
      • "How would you evaluate a company's ability to service its debt?"
  6. Broader IB Questions:

    • Yes, it's normal for teams to throw in questions from the broader 400 IB set, especially if the team has an investment banking background. Be ready for:
      • Valuation methods (DCF, comps, precedent transactions).
      • Accounting questions (e.g., how changes in working capital affect cash flow).
      • M&A-related questions (synergies, accretion/dilution).

Additional Tips:

  • Practice Case Studies: Be prepared to analyze a company's financials and recommend a debt structure. This could involve estimating debt capacity or evaluating a company's ability to meet interest payments.
  • Know the Industry: If the team focuses on a specific sector (e.g., healthcare, tech), research industry-specific risks and opportunities.
  • Brush Up on DCM and Lev Fin: These areas overlap significantly with private credit, so ensure you're comfortable discussing bond markets, leveraged loans, and syndication processes.

Resources to Use:

  • WSO's Private Equity Interview Course and LBO Modeling Tests are excellent for refining your technical skills.
  • Chapters 4 and 5 of Rosenbaum & Pearl are great primers on leveraged finance and LBO modeling.
  • S&P's primer on leveraged loans is a must-read for understanding the loan market.

Good luck with your interview! Remember, private credit is all about balancing risk and return, so demonstrate your ability to think critically and back up your assumptions.
