How to calculate deal structure/capital to commit in the acquisition financing round of a m&a transaction?
Let's say it's a $1B m&a transaction for simplicity. As an underwriter staffed on the a acquisition financing round, how much capital should the bank commit? What types of model/methodology should be used to calculate this?
Management and the lead bank(s) will work together on a fee split and the allocations amongst the bank group. I would say that if you aren't the lead bank, you have very little say in what gets allocated to you, and you either take it, or leave it. Unless it's a really shitty company or an extremely levered deal, most banks will just ram the process through their committee to say yes.
