anything material, such as a merger, will need to be filed in an 8-k.
s-4 ?
8-K which will have the press release, potentially the merger agreement 8-K/A filed later which may have financials of acquired firm (if private), background of merger, some pro-formas, etc.
If the acquiring firm is issuing stock, they may file a prospectus or they may file an updated prospectus if they have an open shelf registration.
Just to follow up, filing an 8K doesn't necessarily mean that the acquisition is closed, right?
