Mozambique SPAC IPO Stock Exchange Requirements

Hi everyone,

I'm working on a SPAC IPO targeting a listing on the Mozambique Stock Exchange (BVM) and could use some expert guidance on a few specific points:

  1. Prospectus Content: What are the key disclosure requirements for a SPAC prospectus under BVM regulations? Are there any unique elements that need to be addressed compared to other markets?

  2. Regulatory Approvals: What is the typical timeline and process for obtaining approval from the Mozambique Capital Markets Authority (CMA)? Are there any common hurdles or delays to anticipate?

  3. Financial Statements: Does BVM have specific requirements for financial statement presentation or auditor qualifications that differ from international standards?

  4. Corporate Governance: What are the mandatory corporate governance structures for SPACs in Mozambique? Any insights into board composition or independence requirements would be helpful.

  5. Local Legal Counsel: Recommendations for local legal counsel with experience in SPAC IPOs on the BVM would also be appreciated.

If anyone has navigated these issues or can share relevant precedents, your advice would be invaluable.

Agradecemos antecipadamente a sua ajuda!

You posted anon but I have done academic research in the area. May be helpful.

I know Sal & Caldeira do listing on BVM and office next to the U.S. Embassy and Chinese hotel.

Reach out, if I can be helpful.

Wondering if a SPAC really makes sense in Mozambique right now. The BVM is relatively small with low liquidity, so tough to attract investor interest. On top of this the local investor base is still developing and likely not wary of the risks associated with SPACs. Also, the regulatory framework in Mozambique is still catching up, and implementing the necessary guidelines for SPACs could be a lengthy process. Generally, economic conditions, including political instability and infrastructure deficits, also pose challenges. Wouldn’t traditional IPOs, private equity, and debt financing be more suitable options for raising capital in Mozambique?
