Private placement vs preferential offering (for publicly listed)
I am pretty confused with the difference of the two. So for the private placement are securities offered to the current shareholders only whereas for preferential offering any investors (but not the current shareholders) can participate? Also, is it true that for private placement you can issue any type of shares but for preferential offering only shares and convertible securities? Thanks!
