Then you go through a lot of BS and pitching and negotiating and minor stock fluctuations.

If the firm has an internal M&A group, that is how it sources potential deals, working alongside BD, business unit leaders and corporate strategy teams.
They also could hire an investment bank to run a buy side process.
Maybe they just simply meet another firm they want to acquire at an industry conference.
