US / UK M&A: Key Differences in Private & Public Deal Processes?

I am trying to move to London, given the US is a sinking ship in my view (and the UK/European markets are more interesting).

Anyways, two questions I am anticipating in my interviews, being American is:

  1. "What is the difference between private US M&A processes vs private UK M&A processes". 
  2. "What is the difference between public US M&A processes vs public UK M&A processes".

For anyone who has worked in both markets, how would you compare US vs UK private M&A processes, and US vs UK public M&A processes (especially under the Takeover Code)? Looking for a concise breakdown of the key differences.
