Corporate Development vs. Transaction Advisory Services

Hi all. Need some food for thought on internship opportunities for 2025. For some background, I am a junior at a T50 semi/non-target undergrad and learned too little too late for a 2025 banking internship. I scraped together a summer offer from a boutique transaction advisory practice with hopes of entering banking through FT recruiting. Recently, I also managed to get an offer to work in corp dev at a MM FinTech. From what I gather, they are not super acquisitive, say 1-2 deals a year but sizable.

I wanted some direction in how to even start thinking about this. I can imagine many would say this is a no brainer in favor of corp dev based on pay and deal experience. I tend to agree and find the work to be more interesting than working on due diligence as an accountant. Then, how should I view a corp dev role out of undergrad? Is there any reason to go into banking? Would also appreciate hearing some pros for TAS. Any high-level advice or personal experience in either industry is helpful and I'd be happy to clarify my situation as best as possible.

Based on the most helpful WSO content, here's how you can think about this:

  1. Corporate Development (Corp Dev) Role:

    • Pros:
      • Direct exposure to M&A deals, even if it's 1-2 deals a year, you'll likely be involved in the entire lifecycle of the transaction (sourcing, valuation, integration).
      • Opportunity to work closely with senior executives and gain strategic insights into the business.
      • Potential for a better work-life balance compared to banking or TAS.
      • If the MM FinTech grows or becomes more acquisitive, you could be well-positioned for internal growth or even equity upside.
    • Cons:
      • Limited deal flow could mean slower skill development compared to banking or TAS.
      • Corp Dev roles can sometimes pigeonhole you into internal roles, making it harder to pivot to banking or PE later without an MBA or additional networking.
  2. Transaction Advisory Services (TAS):

    • Pros:
      • Strong technical foundation in due diligence, financial modeling, and valuation.
      • Exposure to a variety of industries and deal types, which can broaden your skill set.
      • Easier transition to investment banking through FT recruiting, as TAS is often seen as a feeder into IB roles.
    • Cons:
      • Work can be repetitive and focused on due diligence rather than strategic decision-making.
      • TAS roles are often seen as a stepping stone rather than a long-term career path.
  3. Key Considerations:

    • Long-Term Goals: If you're set on breaking into investment banking or private equity, TAS might provide a more direct path. However, if you're interested in staying in corporate strategy or M&A, Corp Dev could be a better fit.
    • Skill Development: Corp Dev will give you strategic and operational exposure, while TAS will hone your technical and analytical skills.
    • Networking: TAS might offer more opportunities to connect with bankers and PE professionals, which could be valuable for FT recruiting.
  4. Why Banking?:

    • Banking offers unparalleled deal flow, rigorous training, and a strong brand name, which can open doors to PE, VC, or other high-finance roles. If you still aspire to banking, TAS might be the safer bet for FT recruiting.
  5. Final Thoughts:

    • If you find Corp Dev more interesting and are okay with potentially not transitioning to banking, it could be a great opportunity to build strategic and deal experience early on.
    • If you're set on banking or want to keep your options open, TAS might be the better choice for now.
