co-GP term sheet questions

hey all, I'm in process of putting together a term sheet between my employer and another group for the set up of a co-GP fund.

Does anyone have sample term sheets? The lawyer we hired is absolute crap, and so I think the term sheet I'm using is flawed. Happy to share more on direct message / private email, but I'm questioning some of the clauses as they may apply to a co-GP structure.

For instance, how would one treat the General Partner as opposed to the fund Manager?
