Kanematsu agreed to pay 49.8B yen for IDAJ, a CAE software distributor. Is distribution of engineering software a good business to own?
Kanematsu agreed to buy 100% of BCJ-61, the holding company of Yokohama-based IDAJ, through its subsidiary Kanematsu Electronics. IDAJ sells design and analysis (CAE) software. The price is 49.8B yen, and completion was set for 1 October 2026.
A distributor of other companies' engineering software sits in an interesting spot. Customers are engineers who rely on the tools every day and need support and training, which creates stickiness. But the distributor depends on the software vendors, who can change terms or sell direct.
For PE folks who have looked at value-added resellers or software distributors: how do you underwrite vendor concentration? Is the real asset the support and services layer? And does a strategic buyer like a trading house see something a financial sponsor would not?
