Does anyone have any recommendations for good legal texts or resources?

Specifically looking to get a better understanding and handle on SPA’s, merger agreements, financing docs etc.

Guess I’m after something with more detail than the few page PDF’s firms put on their websites but less than a $700 textbook targeted at law school students.

Goal is to have a better understanding of what’s going on when our counsel and opposition counsel are marking up docs and to be able to add more value.

If you google around, you'll find the "key things to watch out for in SPAs" type stuff. I've actually found pretty insightful stuff on YouTube. The more basic stuff is geared towards small business owners selling but also more advanced content. Check out Transaction Advisors Institute.

Ultimately its about frameworks and reps. Representations, responsibilities, covenants etc., you'll start to see them from a risk and goals perspective, but that really just comes from a lot of reps.

Make friends with people at the law firms repping your firm. It’s a great way to pick their brains and gain a useful contact down the road. Plus, a lot of law firms provide their associates with BD money to meet up with finance people like yourself, so you can get a free drink/meal out of it as well. The law firm PDFs are intentionally short as a way to stir up client interest, but leave out the more granular stuff so that 1) you hire the firm and they can bill you for it and 2) your eyes don’t glaze over from reading the granular stuff.
