I am not sure I understand, carried interest is similar to an option, it only becomes valuable if the fund clear its return hurdle and it's practically impossible to price. In any case, I have never heard of someone having to pay for carry (unless they were buying into the equity of the mgmt co but I gather that's not your case). .
On the other hand, it's pretty typical to offer to employees the ability to invest directly in the fund (generally on a no fee basis). It seems to me like you are being offered the opportunity to invest in the fund and that's a totally different question.
He's probably referring to the LP commitment attached to the carry. Generally getting carry means you also have to invest alongside the fund.
I'm not sure why you wouldn't get the maximum possible. Also, not subscribing at all would look kind of weird.
