Portco Corp Dev comp question

Hope everyone’s having a nice weekend. Wanted to get a sense if my thoughts on comp for a potential new role are within market. Currently at a larger national b2b services roll up in corp dev as the #2 (out of 2). Been here almost a year. Probably a year or so till the current PE exits. Current comp: $200k base, 20% base, equity that will realistically pay about $100k pre tax on the sale. Fully remote in the NE. My boss reports to ceo (with a dotted line to PE, although usually feels the other way around). The PE is pretty good to work with and overall role is solid. 10 years M&A experience (FDD base, a couple Pubco M&A roles), 15 years total experience and a CPA. Interviewing for another services (but residential) roll up but platform only launched mid 24. I’d be the lead (and only M&A) full time resource. My comp request was around $250k base, 30% bonus. Recruiter thought that was reasonable but on the high end of what they were looking for. Equity tbd. That’s my real question. Business does about $50m in rev / $10m EBITDA today. Platform was created by simultaneously acquiring several business. What should the equity potential be at 3x MOIC? My current grant when I joined current job was $170k. Way more likely to hit $100-115k. I wasn’t looking but recruiter reached out. Original plan was to go through the exit here and then see what’s up but I’m not opposed to jumping early for the right role. Thanks for your thoughts!

Assuming you would be joining as the VP of Corp Dev, I think the comp request is pretty inline with the market. I think that you should be asking for $750k - $2m in equity (3x MOIC)

I think you need to ask yourself the following questions given that the company is newly formed and relatively small compared to current role. 

  • What is the PE firms goals? What are their exit goals? How many years?  Are they offering any support such as an analyst as needed?
  • Do you personally believe in the industry? Has there been a lot of investment in the industry? Any recent exits? What does competition look like? (The PE firm should be able to answer most of these)
  • How do you feel about sourcing deals?
  • Thoughts on running a barebones team? ie. no integrations team, no current templatization of model, LOI, APA, etc 
 

Thanks for the thoughtful reply. All great points. And I think your equity range was what’s in my head. The role may be a director title so tbd but if the cash comp is in the range I noted, I’m not sure if the title matters very much. Based on the comp reports that equity range seems to be it.
