Acquisition paid in stock, which date/ stock price is picked for the transaction?

might be a stupid question but I couldn't find an answer:
If a public company makes an acquisition paying at least partially in stock, which date/ stock price is commonly used in the transaction? Is it the stock price on the signing day, an average or up for debate?
Furthermore, does anyone know exactly how much discretion public companies have regarding the timing of their announcement? How long can they wait until they announce it? Particularly if the deal is signed on weekends, can it be announced only on Monday or later?

The stock exchange ratio (e.g, X shares of acquiror plus Y in cash for each share of target) can be fixed OR floating. This is part of the negotiations. The acquisition, assuming it’s material, must be announced via an 8-K filing within four business days of the definitive agreement.

More often than not it's a fixed ratio in large transactions.
