Assessing company for potential sell-side process
I am a starting analyst and would need some tips on how to evaluate a company whether its a good target to advise as an M&A advisor i.e. there is sense to finding a buyer.
Apart from the generic things such as market share, assessing margins, etc. I would need to conduct a deeper and more comprehensive valuation of the target. Apart from the usual trading and transaction comps, what things should I focus on for a good value estimate? Obviously one can always do a DCF, but I dont exactly have any CoD or CoE figures available readily to calculate a WACC.
In addition, the company has restructured its debt which it had quite a lot of - having never analyzed debt before, what things should I focus on that can be found in its financial statements? And above all, how do analytically assess these components and values to know that the numbers are good or not?
