How can I learn more about M&A process and negotiation?

I’m interested in some form of learning materials that cover concepts such as locked box, w&i, value leakages, EV to EqV adjustments, normalising WC to determine value, etc.

Most resources online are for valuation, but I’m interested in the above. I’m learning on the job, but I feel that I’d need a lot of deals under my belt before fully understanding them and I’m looking for extra resources.

Thanks in advance.

Two suggestions (apart from the obvious ones of asking your colleagues):

1) Use ChatGPT / Google Bard to explain some of these concepts in simple terms. Don't take it as gospel, but it can be surprisingly good.

2) Call the lawyers / accountants working on the deal and ask them to explain it. They aren't going to mark you down at review time for not knowing enough, and they'll tend to be friendly about it - they might believe that you'll remember them in future and reference their firm to advise on a transaction. Besides, makes you look good internally to show that you're networking a bit with some of these advisors and being "at the centre of the deal". Helps to be able to say that you spoke to [Charlie / Sharon] at [Law Term] who "walked you through the latest on the reps and warranties".

OP is about to run up his client’s legal bill by tying up the line with the lawyers asking them to teach him things
