Options Outstanding
Just a quick question,
When calculating fully diluted shares outstanding, what is the best way (ie the one current bankers use) to find the different tranches of options outstanding with the # and strike price? Assuming you want the latest and most complete info...
Thx
Sometimes only the 10-K has the option tranches listed, other times they update it in the 10-Q.
Technically, though, the "best" way is to get the info directly from the company, though obviously this isn't possible unless they are a client or quasi-client.
You need to look in the 10k, but they may not always break out all the option tranches. Sometimes all you get is a weighted avg price for the outstanding options.
Also, you need to account for all types of convertible securities not just options. Of course, you are only concerned with in-the-money options/other securities, not the outstanding number.(Unless you are doing the diluted shares calculation for a merger model, as the options will vest upon the change of control).
Hope that helps.
