Proposing an M&A Target! URGENT

If I am preparing a pitchbook to present a company I believe is a good acquisition target, what are the key areas I need touch on? I need to know what would be done by someone in the industry.

If someone has any example decks which may give me some direction I would really really appreciate that as well! Feel free to PM me for more details.

This is REALLY urgent so I would appreciate all your help immensely!

More info would be helpful here. What's the context and scope of the ask? Are they a company looking for a target? a PE shop looking for an investment opportunity? How much time do you have to do this? What resources do you have available?

Some basic things you could consider addressing (assuming public target)

  • Company overview/profile: what they do, business segments, recent developments, products, etc

  • Market overview: what are the general market trends, size of the market, who are some of the competitors/ how do they stack up (product, market share, etc)

  • Strategic rationale: basically why is this specific company a good fit for whoever you're presenting to (if it's a strategic buyer for example, does this target increase their market share in a weak area? is it a key competitor? does it close a product gap? etc)

  • valuation: depending on what you resources you have available and what they are asking for, the ease of putting together trading comps, acq comps, dcf ,pro-forma analyses, etc will vary. would be helpful to include some analysis of historical financials as well
