The Pivot: From Big Law to Fintech Strategy

Background: I’m a Partner at a top-tier law firm in Brazil (Pinheiro Neto style) and recently took a role as Strategy Advisor for SQHWYD (Digital Assets).
I wanted to share a trend I’m seeing for those of you in IB (Investment Banking) or PE (Private Equity) looking at the Fintech space.
Compliance is no longer back-office. It is now the primary driver of Valuation Multiples.
In 2020, VCs valued user growth. In 2025/26, PEs are valuing "Regulatory Moats."
I am seeing deals collapse solely because the target company couldn't prove the origin of funds for 30% of their user base. The "legal debt" was too high. Conversely, platforms with clean, audited, bank-grade compliance structures are trading at a premium because they are "plug-and-play" for institutional acquisition.
Career Advice: If you are an Associate burning out in M&A, look at the "Strategic Compliance" roles in Fintech. It’s not checking boxes anymore. It’s structuring the product so it doesn’t get illegalized. It’s the bridge between the Code and the Capital.
The pay is comparable, the equity upside is real, and you aren't just moving logos on a slide deck.
